Company registration

Do You Need a Thai Director to Register a Company in Thailand?

Published 27 Oct 2026

The general rule

Director nationality is not a standard incorporation requirement. The company registration identifies the directors and records how they are authorised to sign for the company. The official director-details form also accommodates foreign directors.

The real question is whether the company's intended activity or assets bring another rule into play. That should be checked before the director structure is confirmed.

When nationality can matter

Restricted business activities

Some restricted business categories and foreign-business permissions impose additional conditions. For one restricted category, at least two-fifths of the directors must be Thai nationals. This is a specific exception, not a rule for every Thai company.

The company will own land in Thailand

Nationality and ownership also need separate review if the company intends to own land in Thailand. Land ownership is subject to its own restrictions and possible permission routes, so the intended landholding should be identified before the company structure is fixed.

The foreign director will work in Thailand

Being appointed as a director should not be treated as a substitute for checking immigration and work-authorisation requirements. If the director will actively work in Thailand, plan that separately from the incorporation filing.

What to check before appointing the director

  • What business will the company actually conduct?
  • Will the company own land in Thailand?
  • Does the activity require a foreign-business or sector-specific permission?
  • Who should manage and sign for the company?
  • Will a foreign director actively work in Thailand?

The practical conclusion

Do not appoint a Thai director simply because someone says every Thai company needs one. Start with the business activity, intended land ownership and operating plan. Those facts determine whether the general rule applies or a specific exception must be addressed.

This article provides general information. The correct structure depends on the company's intended activities, assets and operating route.
